THESE TERMS OF SERVICE GOVERN YOUR USE OF COMPANY'S SERVICES. IF YOU REGISTER FOR A FREE TRIAL FOR OUR SERVICES OR FOR FREE SERVICES, THE APPLICABLE PROVISIONS OF THESE TERMS WILL ALSO GOVERN THAT FREE TRIAL OR THOSE FREE SERVICES.

BY ACCEPTING THESE TERMS, BY CLICKING A BOX INDICATING YOUR ACCEPTANCE, BY EXECUTING AN ORDER FORM THAT REFERENCES THESE TERMS, OR FOR FREE SERVICES, BY USING SUCH SERVICES, YOU AGREE TO THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THESE TERMS AND MAY NOT USE THE SERVICES. ANY CHANGES TO THESE TERMS WILL BE IN EFFECT AS OF THE “LAST UPDATED” DATE REFERENCED ABOVE. YOU SHOULD REVIEW THESE TERMS PRIOR TO USING OR PURCHASING ANY OF OUR SERVICES. YOUR CONTINUED USE OF OUR SERVICES AFTER THE “LAST UPDATED” DATE WILL CONSTITUTE YOUR ACCEPTANCE OF AND AGREEMENT TO SUCH CHANGES.

YOU MAY NOT ACCESS THE SERVICES IF YOU ARE OUR DIRECT COMPETITOR, EXCEPT WITH OUR PRIOR WRITTEN CONSENT. IN ADDITION, YOU MAY NOT ACCESS THE SERVICES FOR PURPOSES OF MONITORING THEIR AVAILABILITY, PERFORMANCE OR FUNCTIONALITY, OR FOR ANY OTHER BENCHMARKING OR COMPETITIVE PURPOSES.

1. THE DEFINITIONS

“Affiliate” means any entity, instrumentality, or Governmental Entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.

“Company” means Acta Solutions Inc., a North Carolina corporation, together with its parents, subsidiaries and Affiliates.

“Customer”, “You”,or“Your” means, in the case of an individual accepting these Terms on his or her own behalf, such individual, in the case of an individual accepting these Terms on behalf of a company, Governmental Entity, or other legal entity, the company, Governmental Entity, or other legal entity for which you are accepting these Terms, and Affiliates of that company or entity.

“Governmental Entity” means any supranational, national, state, municipal, local government, any instrumentality, subdivision, court, administrative agency or commission, or other governmental authority, or any quasi-governmental or private body exercising any regulatory or other governmental or quasi-governmental authority.

Intellectual Property Rights” means collectively all patent, trade secret, trademark, copyright (including any moral rights or statutory termination rights), and similar rights for the protection of inventions, works of authorship, recordings, mask works, and identification of source or sponsorship for goods or services in commerce. 

“Malicious Code” means code, files, scripts, agents or programs intended to do harm, including, for example, viruses, worms, time bombs, and Trojan horses.

“Order Form” means Company's Order Confirmation Form specifying the Services to be provided hereunder submitted by You to Company, including any addenda and supplements thereto. By submitting an Order Form hereunder, an Affiliate agrees to be bound by the terms of these Terms as if it were an original party hereto.

“Privacy Policy”means Company’s privacy policy located at https://assets-global.website-files.com/60b7b6b6b7647a83270e0d2a/648b2b8353194fee347bd826_Privacy%20Policy%2006-15-23.pdf.

“Services” means the services provided by Company to You under these Terms to deliver a cloud-based knowledge base solution for customer service communication workflows and other related and/or relevant purposes.

“Terms” means these Terms of Service, Privacy Policy, and any Order Form, each incorporated herein by reference, and such other additional terms and conditions specific to certain areas of our Website and/or Services.

“User” means, in the case of an individual accepting these Terms on his or her own behalf, such individual, or, in the case of an individual accepting these Terms on behalf of a company or other legal entity, an individual who is authorized by You to use the Services, for whom You have purchased a subscription (or in the case of any Services provided by Company without charge for whom a Service has been provisioned), and to whom You (or, when applicable, Company at Your request) have supplied user identification and password (for Services utilizing authentication). User may include, for example, Your employees, consultants, contractors and agents, and third parties with which You transact business.

“Website” means Company’s website located at https://actasolutions.io.

2. SAAS SERVICES AND SUPPORT

2.1           
Subject to these Terms of Service, Company will use commercially reasonable efforts to provide Customer the Services for Customer’s internal business purposes only. As part of the registration process, Customer will identify an administrative username and password for Customer’s Company account.  Company reserves the right to refuse registration of or cancel passwords it deems inappropriate.

3. RESTRICTIONS AND RESPONSIBILITIES

3.1          
Customer will not, directly or indirectly: reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Services or any software, documentation or data related to the Services (“Software”); modify, translate, or create derivative works based on the Services or any Software (except to the extent expressly permitted by Company or authorized within the Services); use the Services or any Software for the benefit of a third party; or remove any proprietary notices or labels.

3.2          
Further, Customer may not remove or export from the United States or allow the export or re-export of the Services, Software or anything related thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the UnitedStates Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority.  As defined in FAR section 2.101, the Software and documentation are “commercial items” and according toDFAR section 252.227-7014(a)(1) and (5) are deemed to be “commercial computer software” and “commercial computer software documentation.”  Consistent with DFAR section 227.7202 and FAR section 12.212, any use modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. Government will be governed solely by the terms of these Terms of Service and will be prohibited except to the extent expressly permitted by the terms of these Terms.

3.3          
Customer represents, covenants, and warrants that Customer will use the Services only in compliance with Company’s standard policies then in effect (the “Policy”) and all applicable laws and regulations. Customer hereby agrees to indemnify and hold harmless Company against any damages, losses, liabilities, settlements and expenses (including without limitation costs and attorneys’ fees) in connection with any claim or action that arises from an alleged violation of the foregoing or otherwise from Customer’s use of Services, to the degree allowable by law. Although Company has no obligation to monitor Customer’s use of the Services, Company may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.

3.4           
Customer shall be responsible for providing Company with all necessary access and permissions required by Company to provide the Services, including, without limitation all standard permissions required by Microsoft Outlook Add-ins, including access to the read view of incoming emails while the Acta Add-in is open and edit access on outgoing emails that users use the Acta Add-in to modify prior to sending. Customer shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, accessor otherwise use the Services, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers and the like (collectively, “Equipment”).  Customer shall also be responsible for maintaining the security of the Equipment, Customer account, passwords (including but not limited to administrative and user passwords) and files, and for all uses of Customer account or the Equipment with or without Customer’s knowledge or consent.

4. CONFIDENTIALITY; PROPRIETARY RIGHTS

4.1           
Each party (the “Receiving Party”) understands that the other party (the “Disclosing Party”) has disclosed or may disclose business, technical or financial information relating to the Disclosing Party’s business (hereinafter referred to as “Proprietary Information” of the Disclosing Party).  Proprietary Information of Company includes non-public information regarding features, functionality and performance of the Service.  Proprietary Information of Customer includes non-public data provided by Customer to Company to enable the provision of the Services (“Customer Data”). The Receiving Party agrees: (i) to take reasonable precautions to protect such Proprietary Information, and (ii) not to use (except in performance of the Services or as otherwise permitted herein) or divulge to any third person any such Proprietary Information.  The Disclosing Party agrees that the foregoing shall not apply with respect to any information after three (3) years following the disclosure thereof or any information that the Receiving Party can document (a) is or becomes generally available to the public, or (b) was in its possession or known by it prior to receipt from the Disclosing Party, or (c) was rightfully disclosed to it without restriction by a third party, or (d) was independently developed without use of any Proprietary Information of the Disclosing Party or (e) is required to be disclosed by law.

4.2
Customer shall own all right, title and interest in and to the Customer Data, as well as any data that is based on or derived from the Customer Data and created specifically for Customer as part of the Services. Company shall own and retain all right, title and interest in and to (a) the Services and Software, all improvements, enhancements or modifications thereto, (b) any software, applications, inventions or other technology developed in connection with Implementation Services or support, (c) all analyses and any other associated information created or conducted by Company and including the right to aggregate and reuse all such information for any purpose, and (d) all Intellectual Property Rights related to any of the foregoing.

4.3
Subject to the limited rights expressly granted hereunder, Company reserves all rights, title and interest in and to any Services provided by or for Company, including all related Intellectual Property Rights. No rights are granted to You hereunder other than as expressly set forth herein.

4.4
Notwithstanding anything to the contrary, Company shall have the right to collect, analyze, and aggregate data and other information relating to the provision, use, and performance of various aspects of the Services and related systems and technologies (including, without limitation, information concerning Customer Data and data derived therefrom), and  Company will be free (during and after the term hereof) to (i) use such information and data to improve and enhance the Services and for other development, diagnostic and corrective purposes in connection with the Services and other Company offerings, and (ii) disclose such data solely in aggregate or other de-identified form in connection with its business.  No rights or licenses are granted except as expressly set forth herein.

5. PAYMENT OF FEES

5.1
Customer will pay Company the then applicable fees described in the Order Form in accordance with the terms therein (the “Fees”).  Except as otherwise specified herein (a) fees based on subscriptions purchased apply whether or not the subscription is actually used, (b) payment obligations are non-cancelable and fees paid are non-refundable except as expressly stated herein, and (c) purchased quantities or amounts cannot be decreased during the relevant Subscription Phase Term stated in the Order Form. Subscription fees are charged on an annual basis and due in advance. Fees and charges for other services are as indicated in the Order Form. If Customer’s use of the Services exceeds the Service Capacity set forth on the Order Form, Customer shall be billed for such usage and Customer agrees to pay the additional fees in the manner provided herein.  Company reserves the right to change the Fees or applicable charges and to institute new charges and Fees at the end of the initial Subscription Phase Term or then current renewal term, upon thirty (30) days prior notice to Customer (which may be sent by email). If Customer believes that Company has billed Customer incorrectly, Customer must contact Company no later than sixty (60) days after the closing date on the first billing statement in which the error or problem appeared, in order to receive an adjustment or credit.  Inquiries should be directed to Company’s customer support department.

5.2
Company may choose to bill through an invoice, in which case, full payment for invoices issued in any given month must be received by Company thirty (30) days after the mailing date of the invoice.  Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower, plus all expenses of collection and may result in immediate termination of Service. Customer shall be responsible for all taxes associated with Services.  If any undisputed amount owing by Customer under this or any other agreement for the Services is thirty (30) or more days overdue, Company may, without limiting its other rights and remedies, suspend Services to Customer and Customer’s access to the Services until such amounts are paid in full. Company will give Customer at least seven (7) days’ prior written notice that Customer’s account is overdue before suspending the Services to Customer and Customer’s access to the Services.

5.3
Unless otherwise stated, Company’s fees do not include any taxes, levies, duties or similar governmental assessments of any nature, including value-added, sales, use or withholding taxes, assessable by any local, state, provincial, federal or foreign jurisdiction (collectively, “Taxes”). Customer is responsible for paying all Taxes associated with its purchases hereunder. If Company has the legal obligation to pay or collect Taxes for which Customer is responsible under this paragraph, the appropriate amount shall be invoiced to and paid by Customer, unless Customer provides Company with a valid tax exemption certificate authorized by the appropriate taxing authority. For clarity, Company is solely responsible for taxes assessable against Company based on its income, property and employees.

6. TERM AND TERMINATION

6.1
Subject to earlier termination as provided below, Agreements are for the Subscription Phase Term as specified in the Order Form, and shall be automatically renewed for additional commercial periods of the same duration as the Subscription Phase Term (collectively, the “Term”), unless either party requests termination in writing at least thirty (30) days prior to the end of the then-current term.

6.2
In addition to any other remedies it may have, either party may also terminate Service upon thirty (30) days’ notice (or without notice in the case of nonpayment), if the other party materially breaches any of these Terms of Service.  Customer will pay in full for the Services up to and including the last day on which the Services are provided. All sections of these Terms of Service which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, confidentiality obligations, warranty disclaimers, and limitations of liability.

7. WARRANTY AND DISCLAIMER

Company shall use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner which minimizes errors and interruptions in the Services.  Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by Company or by third-party providers, or because of other causes beyond Company’s reasonable control, but Company shall use reasonable efforts to provide advance notice in writing or by e-mail of any scheduled service disruption. EXCEPT AS EXPRESSLY PROVIDED HEREIN, COMPANY DOES NOT MAKE ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. THE SERVICES ARE PROVIDED “AS IS”, AND COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES OF TITLE AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. COMPANY DOES NOT REPRESENT OR WARRANT THAT USE OF THE SERVICES WILL BE ERROR-FREE, COMPLETELY SECURE, OR   UNINTERRUPTED, OR THAT THE SERVICES WILL MEET ANY OF GOVERNMENTAL ENTITY’S REQUIREMENTS, OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED.

8. TECHNICAL SUPPORT

Company will provide Technical Support to Customer via both telephone and electronic mail on weekdays during the hours of 9:00 am through 7:00 pm Eastern time, with the exclusion of U.S. federal holidays (“Support Hours”).  Customer may initiate a help desk ticket during Support Hours by calling 317-677-6787 or any time by emailing pavani@actasolutions.io. Company will use commercially reasonable efforts to respond to all Helpdesk tickets within one (1) business day.

9. LIMITATION OF LIABILITY

NOTWITHSTANDING ANYTHING TO THE CONTRARY, COMPANY AND ITS SUPPLIERS (INCLUDING BUT NOT LIMITED TO ALL EQUIPMENT AND TECHNOLOGY SUPPLIERS), OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS OF SERVICE RELATED THERETO UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY: (A) FOR ERROR OR INTERRUPTION OF USE OR FOR LOSS OR INACCURACY OR CORRUPTION OF DATA OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY OR LOSS OF BUSINESS; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND COMPANY’S REASONABLE CONTROL; OR (D) FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID BY GOVERNMENTAL ENTITY TO COMPANY FOR THE SERVICES UNDER THIS AGREEMENT IN THE 12 MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. MISCELLANEOUS

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. These Terms are not assignable, transferable or sublicensable by Customer except with Company’s prior written consent. These Terms,  are the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms, and that all waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein.  No agency, partnership, joint venture, or employment is created as a result of these Terms and Customer does not have any authority of any kind to bind Company in any respect whatsoever. Unless otherwise specified, all notices under these Terms will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. These Terms shall be governed by the laws of the State of North Carolina without regard to its conflict of law’s provisions.  Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wake County, in the State of North Carolina, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. If Customer is a Governmental Entity, these Terms will be governed by, construed in accordance with the laws of Customer’s jurisdiction, without regard to conflict/choice of law principles, and any legal actions or proceedings arising under these Terms will be brought exclusively in the federal or state courts of Customer’s jurisdiction.  Customer agrees that Company can publicize that Customer is a client of Company, and Customer otherwise agrees to reasonably cooperate with Company to serve as a reference account upon request.
